There have been significant changes in the business environment since the Companies Act was enacted in 2006.
As a result, interpretation has changed. This particularly applies to Section 172, which imposes a general duty on every company director to act in the way they consider, in good faith, would be most likely to promote the success of the company for the benifit if its sharholders as a whole.
In this webinar I explain the guidance on directors with respect to section 172, as published by GC100 - a group of 125 individual general counsel and company secretaries working in around 85 companies in the FTSE 100.
